Terms & Conditions

These terms govern your use of the Netdrix Creative website and the services we provide. Please read them carefully — by working with us, you agree to them.

This page is a plain-language summary of our standard terms and is provided for transparency. It is not legal advice. The specific terms for a paid engagement are set out in the proposal and contract you sign before work begins; where those differ from this page, the signed agreement controls.

1. Acceptance of terms

By accessing this website or engaging Netdrix Creative (“Netdrix”, “we”, “us”) for any service, you agree to be bound by these Terms & Conditions and our Privacy Policy. If you are entering into an agreement on behalf of a company, you confirm you have the authority to bind that company. If you do not agree to these terms, please do not use the site or our services.

2. Our services

Netdrix is a full-service ecommerce agency. Depending on your engagement, our services may include Shopify and WordPress store design, performance marketing, graphic design and branding, marketplace management, and done-for-you business launches as described on our Services and Build a Business pages.

The exact deliverables, timeline, and scope for your project are defined in your signed proposal. Work requested outside that scope is treated as a change request and may affect pricing and timeline.

3. Payment terms

Our done-for-you packages are offered at fixed, published tiers — Foundation ($3,500), Managed Launch ($8,500), and Full Build & Hold ($18,000) — with optional monthly management. These prices are not negotiated on a per-client basis.

  • A non-refundable deposit is required to reserve your slot and begin work. The remaining balance is invoiced per the milestone schedule in your proposal.
  • Invoices are issued through our Perfex CRM client portal and are payable via Stripe or PayPal. Monthly management fees, where applicable, are billed in advance.
  • Invoicing is handled internationally through Netdrix Creative Ltd, a UK-registered company. Prices are in USD unless stated otherwise; you are responsible for any taxes or bank fees in your jurisdiction.
  • Late or failed payments may pause work until the account is brought current. We reserve the right to suspend access to deliverables held in the portal while an invoice is overdue.

Refund eligibility is governed by our Refund Policy.

4. Project process & your responsibilities

Our work depends on timely input from you. To keep your project on schedule you agree to:

  • Provide accurate information, brand assets, product details, and access to accounts we need to deliver the work.
  • Review deliverables and provide consolidated feedback within the windows noted in the portal. Extended delays in feedback move your launch date accordingly.
  • Ensure you hold the rights to any materials you supply to us, and that they do not infringe third-party rights.
  • Comply with the terms of third-party platforms used in your project (for example Shopify, Amazon, Meta, and Google).

5. Ownership & intellectual property

Your materials. You retain ownership of all content, trademarks, and assets you provide to us.

Deliverables. On full payment for the relevant work, ownership of the final, project-specific deliverables we create for you (such as your store design, brand assets, and creative) transfers to you. Until payment is complete, all deliverables remain the property of Netdrix.

Our tools & methods. We retain ownership of our pre-existing materials, internal processes, templates, code frameworks, and know-how. Where these are embedded in your deliverables, we grant you a non-exclusive, perpetual license to use them as part of your project. We may showcase non-confidential work in our portfolio and case studies unless you request otherwise in writing.

Third-party assets (fonts, stock imagery, plugins, themes) remain subject to their own licenses.

6. Limitation of liability

We deliver our services with reasonable skill and care, but we do not guarantee specific business outcomes such as sales, revenue, traffic, ad performance, or marketplace rankings — these depend on factors outside our control, including market conditions and third-party platforms.

  • To the fullest extent permitted by law, Netdrix is not liable for indirect, incidental, or consequential losses, including lost profits, lost revenue, or loss of data.
  • Our total aggregate liability arising from any engagement is limited to the total fees you paid to us for that specific engagement in the three months preceding the claim.
  • We are not responsible for the acts, outages, policy changes, or account decisions of third-party platforms and payment providers.

Nothing in these terms excludes liability that cannot be excluded under applicable law.

7. Confidentiality

Both parties agree to keep confidential any non-public business, financial, or technical information shared during an engagement, and to use it only for the purpose of delivering the project. This obligation continues after the engagement ends. It does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law.

8. Governing law

Netdrix operates from Faisalabad, Pakistan, and invoices internationally through Netdrix Creative Ltd, a UK-registered company. Our services are provided subject to the laws of Pakistan in relation to our operations, and to the laws of England and Wales in relation to contracting and invoicing through the UK entity.

Where a signed engagement specifies a governing law and jurisdiction, that agreement controls. The parties will first attempt to resolve any dispute in good faith before pursuing formal proceedings.

9. Changes to these terms

We may update these terms from time to time to reflect changes in our services or legal requirements. The “last updated” date above shows the current version. Continued use of our site or services after an update means you accept the revised terms. Material changes affecting an active engagement will be communicated to you directly.
